Regulatory Template, Regulatory Summary and Behaviour Template

The Country Manual Cryptos Overview has been reviewed to ensure that the content of all the documents remain accurate and up to date.

Regulatory Changes

In June 2024, the UAE Central Bank (CBUAE) issued the Payment Token Services Regulation (Circular No. 2/2024), which will become fully applicable in August 2025. This regulation stipulates that only dirham-backed stablecoins (such as AE coin) will be allowed for payment purposes within the UAE. As a result, major cryptocurrencies such as Bitcoin and Ethereum will be restricted to i.a. trading and investment functions, while foreign stablecoins can only be used to purchase other virtual assets such as non-fungible tokens (NFTs).

Material changes

The Cryptos Overview Behaviour Template (BT) reflects the principles set out in the Regulatroy Summary document using schematic “dos and don’ts” that now cover both types of investors (Retail and Professional). However, the position with respect to Professional Investors is generally the same as for Retail Investors.

With respect to advisory services, it is emphasized that any provision of advisory/financial consultancy services in the UAE triggers local licensing requirements. Therefore, the Cryptos Overview BT now answers the relevant onshore scenarios (at target) with “Grey zone/NO” (passive solicitation) and “NO” (active solicitation).

Please note that the active provision of advisory services/financial consultancy services by foreign (unlicensed) CASPs within the framework of an ongoing advisory agreement (ongoing advice) seems only to be tolerated on a cross-border basis into the UAE (remote) provided the agreement has been requested by the client covering the relevant crypto-asset class. Accordingly, the Cryptos Overview BT now answers the relevant onshore scenarios with “Grey zone/NO” and cross-border scenarios (remote) with “Grey zone/YES – Provided the agreement has been requested by the client covering the crypto-asset class”.

On the other hand, the active provision of advisory services/financial consultancy services by foreign (unlicensed) CASPs outside the scope of a written advisory agreement (spot advice) is no longer permitted/tolerated on a cross-border basis into the UAE (remote). Accordingly, the Cryptos Overview BT now answers the relevant cross-border scenarios (remote) with “NO”.

Non-material changes

Some comments and content have been slightly reworded, without introducing substantive changes to better reflect the regulatory situation/current interpretation of the regulatory framework more accurately.

With the introduction of the European regime, which is directly applicable in the Member States, there is a unified set of rules for payment and utility token. However, security tokens are excluded from the scope of application and will remain subject to the rules on financial products (MiFID II).

Furthermore, according to Art. 59 MiCA, no person may provide crypto-asset-related services within the EU unless it is a legal person or other entity authorized as a CASP by the competent authority of the home Member State. Consequently, only authorized CASPs may provide crypto-asset services in or into the EU.

Spain, in Article 251 of Law 6/2023 of 17 March 2023 on Securities Markets and Investment Services, has designated the CNMV and the Bank of Spain as the competent authorities for the implementation of MiCA.

Spain is one of the countries with a shortened transition period of 12 months (i.e. until 31 December 2025). Accordingly, all transitional arrangements for Spanish CASPs will end by that date and entities that do not qualify for the MiCA Article 60 exemption will be required to apply for a full CASP license through the CNMV. The CNMV’s publication of 23 July 2024 includes the full application form and process for licensing entities seeking to operate as a new CASP in Spain under MiCA.

Material changes

With the introduction of MiCA, payment tokens and utility tokens are subject to the same rules. The Behaviour Template (BT) has been updated accordingly.

ESMA has already issued position statements on MiCA, in particular in relation to “reverse solicitation”. These considerations have been analysed and incorporated into the updated documents.

Non-material changes

Some comments and content have been slightly reworded in the Cryptos Overview, without introducing substantive changes to reflect the regulatory situation/current interpretation of the regulatory framework more accurately.

This guidance describes in detail the application process, including the required documentation, legal basis and regulatory standards.

Non-material changes

With the introduction of MiCA, payment tokens and utility tokens are subject to the same rules. The Behaviour Template (BT) has been updated accordingly.

France – Update 2024

The Cryptos Overview has been reviewed to ensure that the content of all the documents remains accurate and up to date.

Regulatory changes

The Regulation on Crypto Asset Markets (MiCA) entered into force on 29 June 2023, and the provisions on the issuance, public offering and admission to trading of stablecoins is applicable as of 30 June 2024. The remaining provisions on crypto services will be fully applicable from 30 December 2024.

With the introduction of the European regulation, which is directly applicable in the member states, there is uniformity in the rules regarding payment tokens and utility tokens. Excluded from the scope of application, however, are security tokens, which remain regulated in the rules on financial products (MiFID II).

In addition, according to Art. 59 MiCA, no person will be permitted to provide crypto-asset-related services within the EU unless it is a legal person or other undertaking authorised as a CASP by the competent authority of the home Member State. Consequently, only authorised CASPs may provide crypto-asset services in or into the EU.

The Autorité des marchés financiers (AMF) had previously announced that it would be possible to “pre-file” applications for authorisation as a CASP in France from 1 July 2024, pending the actual legislative updates. This has now been addressed with the publication of two ordinances (Ordinance 2024-936 of 15 October 2024 and Ordinance 2024-937 of 15 October 2024) which form the cornerstone of the transition to a new harmonised framework for crypto-assets. With these ordinances, the French government is aligning national law with the MiCA regulation, while at the same time adapting to the TFR regulation on anti-money laundering (AML) and combating the financing of terrorism (CTF).

Material changes

With the introduction of MiCA, payment tokens and utility tokens are subject to the same rules. The Behaviour Template (BT) has been updated accordingly. We would like to take this opportunity to remind you that these provisions will apply from 30 December 2024.

ESMA has already issued position statements on MiCA, in particular in relation to “reverse solicitation”. These considerations have been analysed and incorporated into the updated documents.

The remaining provisions on crypto services will be fully applicable from 30 December 2024.

However, it does not apply to security tokens, which will continue to be regulated under the Markets in Financial Instruments Directive (MiFID II).

The Regulatory Summary and the Behaviour Template have been updated in line with the new Regulation.

On 13 September 2024, Italian Legislative Decree No. 129 of 5 September 2024 implementing Regulation (EU) 2023/1114 on markets in crypto-assets (“MiCAR”) was published in the Official Gazette (“MiCAR Decree”). With this law, Italy has regulated what is within its competence.

Material changes

According to Art. 59 MiCA, no person may provide crypto-asset-related services within the EU unless it is a legal person or other undertaking authorised as a CASP by the competent authority of the home Member State. Consequently, only authorised CASPs may provide crypto-asset services in or into the EU.

In Italy, it was previously only necessary to register in order to provide services related to payment tokens, whereas now an authorisation is required. The Bank of Italy and CONSOB are designated as the competent authorities to supervise compliance with the provisions introduced by MiCA.

As mentioned above, with the introduction of MiCA, payment tokens and utility tokens are subject to the same rules. The CM BT has been updated accordingly.

Activities related to security tokens remain subject to the Italian rules on banking and investment services. Therefore, there are no changes compared to the previous version.

Non-material changes

Some comments and content have been slightly reworded in the Cryptos Overview, without introducing substantive changes to reflect the regulatory situation/current interpretation of the regulatory framework more accurately.
